1. Introduction
Welcome to AINexLayer ("AINexLayer", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the website at www.ainexlayer.com, the AINexLayer application, APIs, MCP server, connectors, and related products (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You must be able to form a binding contract under applicable law to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Some features require an account. You must provide accurate information and keep it updated. You are responsible for safeguarding your credentials (including passwords, API keys, and OAuth connections) and for all activity under your account. Notify us promptly if you suspect unauthorized access.
We may refuse registration, suspend, or terminate accounts when reasonably necessary to protect the Service, other users, or to address violations of these Terms.
3. Using the Service
You may use the Service only in compliance with these Terms and applicable law. You agree not to:
- Misuse, disrupt, or attempt to gain unauthorized access to the Service or related systems.
- Use the Service to generate or distribute illegal, harmful, abusive, or infringing content.
- Scrape, overload, or reverse engineer the Service except as allowed by applicable law or our documented APIs and MCP tools under your own keys and rate limits.
- Resell, sublicense, or provide the Service to third parties in a manner that circumvents our billing, access controls, or Acceptable Use rules.
- Use automated means to create accounts or consume credits in a way that abuses free tiers or promotional offers.
We may remove content, limit features, or suspend access if we reasonably believe your use violates these Terms or presents a security, legal, or abuse risk.
4. Your Content and Integrations
You retain ownership of content you submit to the Service (such as documents, prompts, chat messages, and connector data). You grant AINexLayer a worldwide, non-exclusive, process, transmit, and display that content solely as needed to provide and improve the Service for you.
You are responsible for having the rights to upload content and to connect third-party services (such as Slack, Google Drive, Notion, GitHub, or similar). You must comply with those providers' terms as well as ours.
AI features may send prompts and related content to third-party large language model providers to generate responses. Output can be inaccurate or incomplete; you are responsible for reviewing results before relying on them for important decisions.
5. Credits, Billing, and Plans
Certain features (such as scrapers, crawls, premium models, or other metered usage) may consume credits or otherwise be billed. Prices, credit rates, and plan features may change; we will show current rates in the product or on our pricing pages where applicable.
Payments are processed by third-party payment providers. Except where required by applicable law or stated otherwise at purchase, credit purchases and fees are non-refundable once delivered. Unused promotional credits may expire according to the terms shown when they are issued.
Self-hosted deployments may have different billing behavior as configured by the operator. Cloud offerings remain subject to these Terms and the pricing shown in product.
6. Intellectual Property
The Service—including software, branding, UI, documentation, and underlying technology—is owned by AINexLayer or its licensors and is protected by intellectual property laws. These Terms do not transfer ownership of the Service to you.
We grant you a limited, personal, worldwide, non-exclusive, non-transferable, revocable license to use the Service as provided, solely for your own use (or your organization's use) in accordance with these Terms.
You may not use AINexLayer names, logos, or trademarks without our prior written permission, except as needed to identify your legitimate use of the Service.
7. Privacy
Our Privacy Policy explains how we collect, use, and share personal data. By using the Service, you acknowledge that processing described there is necessary to operate AINexLayer.
8. Third-Party Services and Links
The Service may integrate with or link to third-party products (LLM providers, connectors, analytics, advertising, hosting, and payment processors). Those services are governed by their own terms and privacy policies. AINexLayer is not responsible for third-party services outside our reasonable control.
9. Changes and Availability
We may update, add, remove, or discontinue features of the Service. We may also modify these Terms. Material changes will be reflected by updating the "Last updated" date and, where appropriate, additional notice in product or by email.
If we discontinue a material part of the Service, we will try to give reasonable notice and a chance to export your data where practical. Continued use after changes become effective constitutes acceptance of the updated Terms.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AINexLayer AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO AINexLayer FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE (OR, IF GREATER AND WE SO CHOOSE, RE-PERFORMANCE OF THE AFFECTED SERVICE).
12. Indemnification
You agree to defend, indemnify, and hold harmless AINexLayer and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your integrations, or your violation of these Terms or applicable law.
13. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if needed to protect the Service or other users. Upon termination, your right to use the Service ends; provisions that by nature should survive (including intellectual property, disclaimers, liability limits, and indemnity) will continue to apply.
14. Disputes
If a dispute arises under these Terms, the parties will first try in good faith to resolve it informally by contacting us at the email in Section 16. If it cannot be resolved informally, the dispute will be resolved under applicable law by competent courts or by binding arbitration where the parties agree in writing, in the English language.
Claims must be brought in an individual capacity and not as part of a class, consolidated, or representative proceeding, to the extent such a waiver is permitted by applicable law.
15. General
These Terms are the entire agreement between you and AINexLayer regarding the Service and supersede prior agreements on that subject. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms do not create third-party beneficiary rights.
